Job Summary:

The Contract Management Paralegal is responsible for the consistent management of all Corporation contracts, amendments and legal documents, and Liability insurance programs. This includes oversight of the contract management process, including database management, ensuring required insurance certificates are delivered in a timely manner as well as documenting renewal, expiration and assignment dates.

The Contract Management Paralegal's role in the contract management process requires close collaboration with various internal departments including clinical, operations, human resources, facilities and finance and independent legal consultants.

Primary Responsibilities and Specific Duties:

Contract Management:

  • Oversees organizational contract development and management.
  • Coordinates design of contract verbiage with senior leaders, internal staff, legal counsel, partners and organizational needs and expectations. Implements new contracts, amendments, renewals, and terminations in coordination with senior leaders.
  • Serves as a point of contact for both internal and external clientele regarding contractual issues.
  • Develops and maintains a library of standards and general language used for contracts of a similar nature/scope.
  • Ensures contractual provisions are compliant with State and Federal statutes and regulatory agencies, i.e., HRSA. Evaluate provisions to ensure standard organizational language is applied.
  • Safeguards the accuracy and appropriateness of contractual provisions and any exhibits, attachments, or other required documents.
  • Ensures demographics, fee schedules, service changes and new locations are incorporated in contractual provisions and/or scope as required as organizational changes are affected.
  • Ensures language of organizational Business Associate Agreements (BAA) are drafted and executed appropriately when engaging a business associate to enter an arrangement where CHC will disclose Protected Health Information (PHI) and/or Electronic Protected Health Information (ePHI) to provide a service to CHC.
  • Ensures CHC's Security Questionnaire (SQ) form is sent to and completed by CHC's business associates and/or designated partners.
  • Monitors renewal and expiration dates of all contract/agreements within the organizational database. Completes monthly reports and forwards them to database users and other relevant parties.
  • Prepares contract evaluation monitoring/renewal forms for responsible leader's completion. Ensures key dates for renewal, expiration etc. are updated within the database and follow up on matters as documented within the monitoring form.
  • Ensures data is collected and managed within contract database, contract compliance and administration activities of CHC including configuration of database fields to provide effective and efficient detail.
  • Manages user logins and provides staff training and documentation as it relates to contract database. Coordinates and participates in monthly database-user meetings.
  • Troubleshoots any issues within the database and communicates with contract database vendor for support and maintenance.
  • Maintain within the contract database various contractual records, major vendor/partner correspondence, status reports and other relevant documents pertaining to contracts, agreements, or Memorandum of Understanding (MOU).
  • Support ongoing communication with vendors to ensure contractual and program requirements are met.
  • Ensure contract-related policies, procedures and forms are kept current and are updated as required.
  • In partnership with CHC leaders, develops business relationships with contacts within various organizational and legal counsel offices to ensure documentation is shared including changes in lessee/lessor names are current as well as any amendments, exhibits etc.

Liability Insurance:

  • Direct and evaluate the ongoing delivery and operation of all liability insurance programs with the best available coverage at the best price with superior service.
  • Evaluate, select, implement, and maintain cost-effective liability insurance, utilize data collected through the evaluation of these programs to recommend improvements.
  • Collaborate with the broker of record, ensure all insurance policies are reviewed, updated, and renewed annually.
  • Direct management and coordination of assigned and/or special projects.
  • Demonstrate a high level of confidentiality, discretion, and diplomacy.
  • Communicate with internal and external insurance representatives to request current insurance certificates as required. Ensure adequacy of insurance coverage based on requirements outlined within contractual agreements.
  • Perform other duties as assigned.

QUALIFICATIONS:

Education:

  • Associate degree in paralegal studies required.
  • Bachelor's degree in paralegal studies preferred.
  • Advanced training in contract management preferred.

Experience/Certification:

  • 3 years recent experience working with contract management required.
  • Experience in a health care/legal environment preferred.
  • Strong knowledge of contract review/management, corporate law, legal department operations, and documentation.
  • Good working knowledge of computer software, including Word, Excel, and Power Point.
  • Contract database management experience required.
